    Terms of Service

    Last updated: 27 September 2026

    1. About These Terms

These Terms of Service ("Terms") form an agreement between Auditvault Limited, a company registered in England and Wales with company number 16924533, of 4-6 Greatorex Street, London, E1 5NF ("AuditVault", "we", "us"), and the organisation that creates an account or subscribes ("Customer", "you"). They govern your use of the AuditVault platform at auditvault.co.uk (the "Service"). By creating an account or using the Service you accept these Terms. If you accept them on behalf of an organisation, you confirm that you have authority to bind it.

The Service is provided for business use only. It is not offered to consumers.

    2. The Service

AuditVault is an AI-assisted governance, risk and compliance platform. Depending on your plan, it lets you build knowledge bases from your evidence documents; run gap analysis against built-in and custom frameworks; answer questions and questionnaires from your own documentation; manage a Statement of Applicability, policy acknowledgements, suppliers and a Trust Center; and bring in security findings from connected AWS, Azure and GitHub accounts. We may improve, change or retire features over time. We will not materially reduce the core functionality of a paid plan during a billing period you have already paid for.

    3. Accounts and Users

    You must:

    • Give accurate and complete information when you register, and keep it up to date
    • Keep account credentials secure and not share them. Each seat is for one named person
    • Tell us promptly at support@auditvault.co.uk if you suspect unauthorised access to your account
    • Make sure every user you invite is at least 18 and follows these Terms. You are responsible for their activity in your account

    4. Acceptable Use

    You must not:

    • Use the Service for any unlawful purpose or in breach of anyone else's rights
    • Upload malware, or attempt to probe, scan, disrupt or gain unauthorised access to the Service or other customers' data. Security testing needs our prior written agreement
    • Reverse engineer the Service, or use it to build a competing product
    • Resell or provide the Service to third parties, except under a written reseller agreement with us
    • Use the Service to produce false or misleading compliance or security information
    • Connect a cloud account, repository or other system you are not authorised to connect

    5. Your Data

You keep all rights in the documents, evidence and other content you upload or connect ("Customer Data"). You grant us a limited licence to host, process and analyse Customer Data only to provide the Service to you. You are responsible for having the right to upload it, including any personal data it contains.

When we process personal data on your behalf, we act as your processor under our Data Processing Agreement, which forms part of these Terms. Our Privacy Policy explains how we handle the account, billing and usage data we control ourselves. Customer Data is hosted and processed in the UK (AWS London), and we do not use it to train AI models.

    6. Sharing and Connected Services

Some features publish or send content outside your account at your direction, such as Trust Center pages, supplier share links and policy acknowledgement emails. You decide what to share and with whom, and you are responsible for that content. When you connect AWS, Azure or GitHub, you authorise us to read the configuration and security data that the connection allows. You can disconnect at any time. Your use of those third-party services remains subject to their own terms.

    7. AI-Generated Content

The Service uses AI to generate analysis, answers and recommendations from your content. AI output can be incomplete or wrong. It is not legal or audit advice, and qualified people in your organisation should review it before you rely on it or submit it to anyone. You are responsible for the decisions you make and the responses you submit.

    8. Trials, Plans and Payment

We may offer a free trial for a limited period. When the trial ends, you need a paid plan to keep using the Service. Self-serve plans are billed monthly in advance through Stripe. Enterprise plans are invoiced as set out in your order. Prices are in pounds sterling and exclude VAT, which we add where it applies.

You can cancel a self-serve plan at any time. Cancellation takes effect at the end of the current billing period, and you keep access until then. Fees already paid are non-refundable except where the law requires otherwise. We may change prices with at least 30 days' notice, taking effect from your next billing period.

AI credits and fair use. Each plan includes a monthly allowance of AI credits. One credit covers about one standard AI request; longer documents, longer answers and scanned (image-only) PDF pages use more credits, in proportion to the processing they require. When the allowance is used, AI features pause until the next monthly reset unless you upgrade or buy an AI add-on. Unused credits do not roll over. The Service is provided for your organisation's own compliance work: automated or bulk processing designed to consume capacity rather than serve that purpose, including mass ingestion of scanned documents, is outside fair use, and we may limit it after contacting you.

    9. Support and Availability

    Support depends on your plan:

    • Solo and Starter: AI-powered assistance through the in-app help chat.
    • Business: in-app AI assistance plus best-effort email support. There is no Service Level Agreement (SLA), and response times vary.
    • Enterprise: priority support, with any SLA set out in your enterprise agreement.

We work to keep the Service available and secure, but we do not promise that it will be uninterrupted or error-free. There may be planned maintenance and occasional outages. Unless your enterprise agreement says otherwise, no availability commitment applies.

    10. Intellectual Property

We own the Service, including its software, frameworks content, prompts and design. These Terms give you a non-exclusive, non-transferable right to use the Service during your subscription. If you send us feedback, we may use it without obligation to you.

    11. Confidentiality

Each party will keep the other's non-public information confidential and use it only for the purposes of these Terms. This does not apply to information that is already public, that was lawfully obtained from someone else, or that must be disclosed by law.

    12. Limitation of Liability

Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be limited or excluded by law.

Subject to that, neither party is liable for any indirect or consequential loss, or for loss of profits, revenue, business, goodwill or anticipated savings. Each party's total liability arising out of or in connection with these Terms, whether in contract, tort (including negligence) or otherwise, is limited to the fees paid and payable by you for the Service in the 12 months before the event giving rise to the claim. This limit does not apply to your obligation to pay fees.

    13. Suspension and Termination

You can stop using the Service and cancel at any time, as described in section 8. We may suspend or end your access if you materially breach these Terms, including by not paying fees when due, or if we have to in order to protect the Service or comply with the law. Where it is reasonable to do so, we will give you notice first and a chance to put things right.

After termination you may ask to export your Customer Data within 30 days. After that we delete it, as set out in our Data Processing Agreement, unless the law requires us to keep it.

    14. Changes to These Terms

We may update these Terms from time to time. We will tell you about material changes by email or in the Service at least 30 days before they take effect, unless a change is needed sooner for legal or security reasons. If you continue to use the Service after a change takes effect, you accept the updated Terms. If you do not agree, you can cancel before then.

    15. General

If you have a separate signed agreement with us, it takes precedence over these Terms where they conflict. Neither party is liable for delays caused by events outside its reasonable control. You may not transfer these Terms without our consent. We may transfer them to a successor to our business. If any provision is found unenforceable, the rest remain in effect. These Terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute arising from them.
